Terms of Use
These Terms of Use (“Terms”) govern your access to and use of the public ProperLog website at properlog.io, including the Founding Facility interest form and optional logbook or checklist upload feature.
By using the website or submitting information through it, you agree to these Terms. If you do not agree, do not use the website or submit materials through it.
These Terms apply to the public pre-launch website only. They are not the subscription agreement, service terms, service-level agreement, data-processing agreement, or other customer contract that may govern future production use of the ProperLog software platform.
1. About ProperLog
ProperLog is developing software intended to help facilities turn recurring logbooks, checklists, inspections, procedures, and related operational work into guided digital workflows and operational records.
The website describes a product that is under active development. Features, availability, pricing, packaging, integrations, functionality, and launch timing may change.
2. Permitted Use
You may use the website for lawful business and informational purposes, including learning about ProperLog, contacting us, expressing interest in becoming a Founding Facility, and voluntarily sharing an existing operational form or workflow for review.
You must not: • use the website for unlawful, fraudulent, abusive, or harmful activity; • attempt to gain unauthorized access to the website, systems, accounts, or data; • interfere with or disrupt the website or its security; • introduce malicious code or content; • use automated means to scrape, probe, overload, or abuse the website except as permitted by law or with our written permission; or • misrepresent your identity, organization, authority, or relationship with another person or organization.
3. Materials You Submit
You retain ownership of materials you submit to ProperLog.
By submitting a logbook, checklist, inspection form, procedure, message, or other material, you give ProperLog a limited, non-exclusive permission to access, store, reproduce, analyze, and use that material as reasonably necessary to: • respond to your inquiry; • evaluate whether ProperLog is a fit for your organization; • understand your workflow or product requirements; • prepare or discuss a relevant demonstration, pilot, or onboarding approach; and • operate the pre-launch process.
This permission does not give ProperLog ownership of your materials.
You represent that you have the right and authority to submit the materials and to permit ProperLog to use them for these purposes. Do not upload materials that you are prohibited from sharing.
Please do not submit passwords, API keys, authentication credentials, payment-card information, personal health information, or other highly sensitive personal information through the website.
ProperLog will not publicly use your organization’s name, logo, identifiable uploaded materials, testimonial, or case study based solely on a website submission. Separate permission will be obtained before such public use.
4. Founding Facility Program
Submitting interest does not guarantee acceptance into the Founding Facility program, access to ProperLog, a pilot, a particular launch date, pricing, a discount, or any other commercial term.
Any pilot, paid subscription, implementation, or production use will be subject to separate agreement or applicable service terms before it begins.
5. Product Information and Pre-Launch Materials
Website content, screenshots, mockups, demonstrations, descriptions, roadmaps, and other pre-launch materials are provided for general information and may depict planned or evolving functionality.
Unless ProperLog expressly agrees otherwise in writing, website content is not a binding commitment to deliver a particular feature, integration, performance level, regulatory outcome, launch date, or commercial term.
6. No Regulatory or Professional Advice
ProperLog is intended to support operational workflows and recordkeeping. The website and any pre-launch demonstration are not legal, engineering, safety, regulatory, medical, or other professional advice.
Facilities remain responsible for determining and complying with the laws, codes, standards, procedures, inspection requirements, safety obligations, and recordkeeping requirements applicable to their operations.
Nothing on the website represents that ProperLog is currently approved, certified, endorsed, or accepted by a regulator for a particular regulated use unless ProperLog expressly states that claim in writing with current supporting information.
7. Intellectual Property
The website and its content, including the ProperLog name, branding, software, designs, text, graphics, interfaces, and other materials created by or for ProperLog, are owned by ProperLog or its licensors and are protected by applicable intellectual-property laws.
Except as permitted by law, you may not copy, modify, distribute, sell, license, reverse engineer, or commercially exploit ProperLog website content or technology without permission.
These Terms do not transfer ownership of your submitted materials to ProperLog.
8. Feedback
If you voluntarily provide ideas, suggestions, or feedback about ProperLog, you permit ProperLog to use that feedback to develop and improve its products and business without restriction or payment to you, provided that this does not transfer ownership of confidential materials you submit under Section 3.
9. Third-Party Services and Links
The website may rely on or link to third-party services. ProperLog is not responsible for third-party websites, services, content, availability, or practices. Your use of third-party services may be governed by separate terms and privacy policies.
10. Website Availability
We may change, suspend, restrict, or discontinue all or part of the website or pre-launch program at any time. We do not guarantee that the website will always be available, uninterrupted, secure, or error-free.
11. Disclaimers
To the maximum extent permitted by applicable law, the website and pre-launch materials are provided on an “as is” and “as available” basis without warranties or conditions of any kind, whether express, implied, statutory, or otherwise.
ProperLog does not warrant that website information is complete, current, error-free, suitable for a particular operational or regulatory purpose, or that future product functionality will match pre-launch descriptions.
Nothing in these Terms excludes warranties, conditions, rights, or remedies that cannot lawfully be excluded.
12. Limitation of Liability
To the maximum extent permitted by applicable law, ProperLog and its owners, personnel, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to use of the public website or reliance on pre-launch website materials.
Where liability cannot lawfully be excluded, these Terms limit liability only to the extent permitted by applicable law.
These limitations concern the public pre-launch website. Any future production service will be governed by the liability terms in the applicable customer agreement or service terms.
13. Privacy
ProperLog’s collection and handling of personal information through the website is described in the ProperLog Website Privacy Policy.
14. Changes to These Terms
We may update these Terms as ProperLog and the website evolve. The version published on the website will identify when it becomes effective or is updated. Continued use of the website after updated Terms are published constitutes acceptance to the extent permitted by applicable law.
15. Governing Law
These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
Subject to applicable law, disputes relating to these Terms or the public website will be brought before the courts of New Brunswick, Canada.
